February deal and transaction round-up

February has gone by in a flash and whilst for many it is also the month of love, not all goes as smoothly in business relationships. Our highlights include:

Following some months of attempted negotiations between two director/shareholders, who had unfortunately fallen out and could no longer work together, we hosted a formal mediation using a jointly appointed professional mediator. Sadly, this happens often and is a reminder of the need for a robust shareholder agreement.

On the plus side we have this month completed the sale of a company in the medical supplies industry. This is a vibrant sector, and it is always good to work with entrepreneurs who are making a successful exit after building their business for several years.

We have also completed an interesting debt for equity swap where a lender has converted monies owed by the borrower into shares in the borrower. This transaction was attractive to the lender because of their tax position, and we enjoyed working closely with accountants MHA to push it to completion.

Finally, we have been at both Farm Expo and the Maidstone Business Show. It is great to be able to chat to local business owners and the wider advisory community and there seems to be a good level of interest in the local area from businesses keen to expand.
